North Gravity LLC — Excel Add-in Terms of Use

Effective Date: Date of installation This Terms of Use Agreement (the “Agreement”) governs the use of the NorthGravity Excel add-in and related services (the “Service”) by the individual or entity installing or using the Service (the “Customer”). The Service is provided by North Gravity LLC (“NG”).BY INSTALLING, ACCESSING, OR USING THE SERVICE, CUSTOMER AGREES TO BE LEGALLY BOUND BY THIS AGREEMENT. IF CUSTOMER DOES NOT AGREE, CUSTOMER MUST NOT INSTALL OR USE THE SERVICE.1) Acceptance of Terms; Authority; UpdatesBy installing or using the Service, Customer represents and warrants that it:a) has read and understood this Agreement;b) has the authority to enter into this Agreement; andc) agrees to be bound by its terms.NG may modify this Agreement at any time. NG will provide notice via in-product notification, email, or website posting. Continued use after modifications constitutes acceptance.2) License GrantNG grants Customer a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service:only within Microsoft Excel;

only by the named individual end user; and

only for internal, non-commercial purposes.

3) Excel-Only Data Availability & UseTo protect NG’s intellectual property and supplier agreements:In-Excel Only: Data and outputs (collectively, “Data”) may be used only within Excel. No exporting, scraping, or redistributing outside Excel.

No Redistribution: Customer may not share Data with any third party, directly or indirectly.

Derived Data: Transformed or calculated values remain NG’s Data. They cannot be commercialized, redistributed, or exported.

Availability: NG makes no guarantees regarding availability, coverage, latency, accuracy, or completeness of Data. Data may change or be withdrawn at NG’s discretion.

Controls: Customer must not bypass security or usage controls.

Audit: NG may request attestations or logs to verify compliance.

4) Ownership; Usage Statistics; FeedbackThe Service, Data, and all related intellectual property are owned by NG and/or its licensors. Customer obtains no rights except as explicitly granted.Usage Statistics: NG exclusively owns all usage statistics, telemetry, and analytics generated by or through the Add-in.

Feedback: Customer grants NG a perpetual, irrevocable, royalty-free right to use feedback or suggestions without restriction.

5) Customer ObligationsCustomer shall not:a) share or transfer access to the Service;b) use the Service for commercial benefit of third parties;c) reverse engineer or attempt to derive source code;d) circumvent or disable security features; ore) use the Service in violation of applicable laws.f) Customer is responsible for all, indirect, or direct, support needed for Service 6) Third-Party Data & ServicesIf the Service interacts with third-party data or services (including Microsoft), the Customer is solely responsible for compliance with those providers’ terms. NG assumes no liability for third-party obligations.7) Disclaimer of WarrantiesTHE SERVICE AND DATA ARE PROVIDED “AS IS” AND “AS AVAILABLE.” NG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND FREEDOM FROM MALICIOUS CODE.8) Limitation of LiabilityTo the fullest extent permitted by law:NG will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages.9) Suspension & TerminationNG may suspend or terminate Customer’s access, with or without notice, at its sole discretion. Unauthorized use of Data constitutes grounds for immediate termination and injunctive relief.10) PublicityCustomer grants NG a limited, non-exclusive right to use Customer’s name and logo on NG’s website and marketing materials solely for identification as a customer.


11) Contact by NGCustomer expressly agrees that NG may contact Customer via email, in-product messaging, or other methods in connection with use of the Service, including product updates, notices, and marketing communications.12) Governing Law & VenueThis Agreement will be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflicts of law principles. Customer agrees to the exclusive jurisdiction of the state and federal courts located in Illinois, United States.13) Entire Agreement; SeverabilityThis Agreement constitutes the entire agreement between Customer and NG with respect to the Service and supersedes all prior agreements. If any provision is held invalid, the remainder will continue in effect.14) Fees & ChangesThe Service may initially be provided at no cost. NG reserves the right to introduce fees or change terms with notice to Customer.BY INSTALLING OR USING THE NORTHGRAVITY EXCEL ADD-IN, CUSTOMER AGREES TO BE LEGALLY BOUND BY THIS AGREEMENT.
