Effective Date: Date of Installation
This End User License Agreement (the “Agreement”) governs access to and use of the NorthGravity Excel Add-in, including any related services, data, documentation, and updates (collectively, the “Service”). The Service is provided by North Gravity LLC (“NorthGravity,” “NG,” “we,” or “us”).
BY INSTALLING, ACCESSING, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SERVICE.
1. Acceptance of Terms; Authority; Updates
By installing or using the Service, you represent and warrant that: (a) you have read and understood this Agreement; (b) you have the authority to enter into this Agreement on behalf of yourself or the entity you represent; and (c) you agree to be bound by its terms. NorthGravity may modify this Agreement as needed. Notice of material changes will be provided via in-product notification, email, or posting on our website. Continued use after such notice constitutes acceptance.
2. License Grant and Scope
Subject to your compliance with this Agreement, NorthGravity grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service solely: (a) within Microsoft Excel through the authorized Add-in; (b) by the individual end user who installed the Add-in; and (c) for internal, non-commercial evaluation and informational purposes, unless otherwise expressly agreed in writing. Commercial usage of any data obtained through this license is strictly prohibited.
3. Data Access, Use, and Restrictions
The Service may provide access to free or public datasets created by NorthGravity and, in some cases, sample or demonstration data provided by NorthGravity or its clients (“Data”).
In-Excel Use Only. Data and outputs may be viewed and analyzed only within Microsoft Excel via the Service. Exporting, scraping, mirroring, or otherwise transferring Data outside Excel is prohibited.
No Redistribution or Commercialization. You may not sell, license, sublicense, share, disclose, or otherwise make Data available to any third party.
Derived Data. Any calculations, transformations, or derivatives of the Data remain Data and are subject to the same restrictions.
Availability and Changes. Data coverage, accuracy, latency, and availability are not guaranteed and may be modified or withdrawn at any time.
4. Security, Monitoring, and Anti-Exfiltration Controls
You may not bypass, disable, or interfere with technical controls, rate limits, authentication mechanisms, access controls, or usage restrictions. NorthGravity may employ monitoring, logging, and telemetry to detect abuse, fraud, or unauthorized data extraction. You consent to such monitoring for security, compliance, and product improvement purposes.
5. Ownership and Intellectual Property
The Service, Data, and all related intellectual property rights are and shall remain the exclusive property of NorthGravity and/or its licensors. No rights are granted except as expressly stated in this Agreement.
Usage Statistics. All usage metrics, logs, analytics, and telemetry generated through use of the Service are owned exclusively by NorthGravity.
Feedback. You grant NorthGravity a perpetual, irrevocable, royalty-free right to use any feedback or suggestions without restriction or obligation.
6. User Obligations and Acceptable Use
You agree not to: (a) share access credentials or permit unauthorized access; (b) use the Service for the benefit of third parties; (c) reverse engineer or attempt to derive source code; (d) use the Service to build or train competing products; (e) violate applicable laws or regulations; or (f) use the Service in a manner that could compromise security or data integrity.
7. Privacy and Data Protection
NorthGravity processes limited personal information (such as account identifiers and usage data) in accordance with its Privacy Policy. Where required by Microsoft Store policies, a separate Privacy Policy is made available to users describing data collection, use, retention, and security practices.
8. Third-Party Services
The Service may interoperate with third-party services, including Microsoft. Your use of such services is subject to their respective terms. NorthGravity is not responsible for third-party services or data.
9. Disclaimers
THE SERVICE AND DATA ARE PROVIDED “AS IS” AND “AS AVAILABLE.” NORTHGRAVITY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTHGRAVITY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. IN NO EVENT SHALL NORTHGRAVITY’S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Suspension and Termination
NorthGravity may suspend or terminate access to the Service at any time for violation of this Agreement or to protect the Service, Data, or other users. Upon termination, all rights granted herein cease immediately.
12. Publicity
You grant NorthGravity a limited, non-exclusive right to identify you as a user of the Service in customer lists or marketing materials, unless you opt out in writing.
13. Communications
You consent to receive service-related communications, including updates, security notices, and administrative messages, via email or in-product messaging.
14. Governing Law and Venue
This Agreement is governed by the laws of the State of Illinois, without regard to conflict of laws principles. You agree to exclusive jurisdiction and venue in the state or federal courts located in Illinois, USA.
15. Miscellaneous
Entire Agreement. This Agreement constitutes the entire agreement between you and NorthGravity regarding the Service.
Severability. If any provision is held unenforceable, the remaining provisions will remain in effect.
Assignment. You may not assign this Agreement without NorthGravity’s prior written consent.
Fees and Changes. The Service may be offered free of charge initially. NorthGravity reserves the right to introduce fees or change pricing with notice.
BY INSTALLING OR USING THE NORTHGRAVITY EXCEL ADD-IN, YOU AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT.
